marshal Terms of Use

1. Acceptance of Terms

By creating an account or using the marshal application or the website at marshalapp.us (together, the "Service"), you agree to these Terms of Use and to our Privacy Policy. If you do not agree, do not use the Service. The Service is operated by emefa LLC ("marshal," "we," "us," or "our").

2. Eligibility

You must be at least 13 years old to use marshal. By creating an account you confirm that you are 13 or older. marshal is not directed to children under 13. If you use marshal on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. Groups, Roles, and Content

marshal lets you create and join groups. Within a group, people may hold roles — member, an officer role such as treasurer, secretary, or events coordinator, president/chair, or owner — each with different permissions. In these Terms and our Privacy Policy, "administrators" means owners, presidents, and role-holding officers. Group administrators manage their group's settings, membership, and content.

Your content. You retain ownership of the content you post (messages, announcements, images, and similar). By posting content, you grant marshal a limited license to host, store, display, and transmit that content as necessary to operate the Service for you and your group.

Group control. When you participate in a group, the group's administrators control membership and the visibility of content within the group. emefa LLC acts as a processor handling data on the group's behalf, as described in the Privacy Policy.

Intimate images shared without consent. Publishing intimate or sexually explicit imagery of a person without their consent is prohibited. Anyone — with or without a marshal account — can report such content at marshalapp.us/report-ncii; we remove verified reports within 48 hours and make reasonable efforts to remove identical copies.

6. Payments and Dues

Your paid plan. If you subscribe to a paid plan, your plan is billed through Stripe (or, for certain in-app purchases, through Apple's App Store) and is subject to that provider's terms. You are responsible for the accuracy of the payment information you provide and for the amounts you authorize.

Group dues are separate and non-custodial. When a group tracks dues, members pay one another directly through third-party payment apps the group chooses (for example Venmo, Zelle, Cash App, PayPal, Sendwave, or mobile-money services). marshal does not receive, hold, transmit, or process those funds and is not a party to those payments — marshal only records the information members choose to enter. Where a provider offers a public payment page, marshal may show a link built from the group's configured handle or a reusable payment link the group stored; the payment itself takes place entirely on the provider's platform, under that provider's own terms (some providers restrict organizational collections on personal accounts — check your provider's terms). marshal cannot and does not confirm that any payment occurred; payment records in marshal are entered by members and reconciled by the group's own treasurers. Dues arrangements are governed by the group's own terms.

7. Calls and AI Features

marshal may offer voice and video calling and optional AI-assisted features, such as announcement drafting and meeting transcription and summaries (AI-generated minutes). When live captions are turned on during a call, the call's audio is streamed to our transcription provider in real time to generate on-screen captions. AI features are provided on an "as is" basis; AI-generated output may contain errors and should be reviewed before being relied upon. Where AI processes your content, you will be informed, and AI-generated material will be identified as such.

8. Subscriptions and Plans

marshal offers free and paid plans with different feature limits. Paid plans are billed as described at the time of purchase. A subscription attaches to a billing entity — an individual account or an organization — and its tier sets the allowances shared across that entity's groups. Depending on the plan, these allowances include feature availability, member caps, storage limits, the number of groups you may own, and pooled usage allowances such as a monthly amount of meeting/call minutes and AI meeting-notes minutes.

Usage allowances, minute packs, and limits. We measure usage (for example call minutes and AI-notes minutes) against your plan's allowances. When an allowance is reached, the affected action may be limited until the next billing cycle, until you upgrade, or until you purchase an optional consumable minute pack that adds capacity for the current cycle. Minute packs are one-time purchases and, once added, are non-refundable except where required by law. Creating a group or adding members consumes plan quota; exceeding a cap prompts an upgrade rather than an unexpected charge. We may change plan features, allowances, or pricing on reasonable notice.

Auto-renewal. Paid plans are auto-renewing subscriptions: they renew automatically for the same period at the then-current price until you cancel. Subscriptions are billed through Stripe or, for in-app purchases, through Apple's App Store (Apple IAP). You can cancel at any time in your plan settings or, for App Store purchases, in your device's store account settings; cancellation takes effect at the end of the current billing period. Purchases made through the App Store are subject to the store's own refund policy.

9. Service Availability

We aim to keep marshal available and reliable but do not guarantee uninterrupted service. Features that depend on third-party providers (such as calling via LiveKit) may be unavailable during provider outages. We may modify, suspend, or discontinue features at any time.

Where marshal is available. marshal is offered in the countries where we currently support it — at launch, the United States, Canada, Australia, and New Zealand. On mobile, availability is set by your app store's country. On the web, sign-up is open except from the countries and regions we block for legal reasons (see Sanctions below). Supported regions may change at any time as we add or remove them.

Sanctions and export compliance. marshal blocks access from countries and regions subject to comprehensive sanctions — currently Cuba, Iran, and North Korea, and, by your representation below, the Crimea, Donetsk, and Luhansk regions of Ukraine — and, as a matter of company policy, from jurisdictions we cannot lawfully or reliably serve, currently Syria, Russia, and mainland China. marshal may not be accessed by any person or entity blocked under applicable sanctions or export-control laws (such as the U.S. Treasury Department's Office of Foreign Assets Control (OFAC) lists). By using the Service, you represent and warrant that you are not located in such a country or region, are not such a blocked person, and that your use complies with all applicable sanctions and export-control laws.

Our right to restrict access. We may restrict, refuse, or terminate access to the Service, in whole or in part and for any user, country, or region, where we believe it is necessary or appropriate for legal, sanctions or export-control, platform-rule, or safety reasons.

10. Termination

You may stop using marshal and delete your account at any time from your profile settings. We may suspend or terminate your access for violations of these Terms or to comply with law. Certain provisions (including ownership, disclaimers, and limitation of liability) survive termination.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

12. Limitation of Liability

To the fullest extent permitted by law, emefa LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, where appropriate, notify you in the app. Continued use of marshal after changes take effect constitutes acceptance of the revised Terms.
